Forward Guidance

This week we will be paying out a dividend. Another 100,000 shares will be destroyed. This will leave 75 percent of the 2,000,000 shares we started with. In the coming year we will continue to work towards earning a profit for our shareholders and distribute them to 25 percent less shares than last year.

In our current position a 10000L per month dividend should be possible. We will do our best to meet and even exceed this target. I would encourage people to look at the facts, look at our track history and evaluate KDC for themselves. I personally do not understand why we continue to trade at such low share prices. I would challenge you to find a company that pays out a better return.

Our profit for august was 2431.43L

We posted a dividend.

I own 1,134,607

KDC owns 164,963

leaving 400,430 shares in public float.

Assets total $264,048.59

We have expanded our outlook to include financing some private ventures and feel we can't possibly do any worse than the investments on the exchanges. Also we have been able to make gains on ace with minimal investments of around 20 percent. The problem is there is no real volume in an upward motion to provide us with any reliable income on any exchange.

We made about 12,500 L in July, and posted half as dividends.

While we are back to posting profits and are posting fine returns for our investments profits continue to be very dissapointing. With the summer months coming to a close I am optomistic we will see improvement.

We will continue to post 50 percent of our profits as dividends each month.

Are we worth investing in? That's really up to the investor. The question is really quite funny considering where its coming from. I won't hype KDC. What I do is the very best I can to provide investors with a return and for the most part have. I won't make false promises, I won't IPO a bogus company and pretend to pay dividends and I won't try to forecast the future. What I will do is continue to work hard to make a profit and share this profit with the people who have bought stock in KDC, and if you look at my track record you will see that this has been done consistently right up until recently. The recent problems plague all investors and companies that invest on exchanges in sl. KDC is not immune.

As stated at the beginning of the month the next expected dividend date will be in August. It would appear we are on track. Business is slow, very slow but we are making gains.

We have sustained losses, however we have destroyed 200,000 shares from my own personal account. This helps to offset losses due to our investments in stocks on this exchange. On an up note we are making money on other exchanges and it would appear the worst is behind us. I do not expect further dividends to be paid until July or August.

Our share breakdown is as follows 100,181 shares are held by KDC, 1,126,010 are held by myself. This out of 1,700,000 shares. Our NAV is .163/share.

We where not going to pay out dividends until TNW was resolved but since these things seem to take eternity we decided to pay out dividends at a reduced percentage of earnings until we have actually taken the loss.

Regardless of our current financial position a good look at our recent history will show similar conditions in October. We where able to recover and show strong earnings and increase share holder equity. While we have taken a step back, I am confident we can recover quickly and expect to continue to pay out strong dividends to our share holders. Anyone who takes a good hard look at actual returns can see plainly there are few options that pay higher, more consistant returns than KDC.

You will notice a large decrease in per share value due to overall market conditions. The main factor behind this is TNW's sudden decision to liquidate. We own 128,900 shares in TNW. Share price dropped just under 50% before being halted, leaving us holding the bag. Other factors include, MECH remaining halted, and an overall drop in price for nearly all stocks across the board. Finally we destroyed over 57,000 of our own treasury shares, decreasing the overall company value but increasing each shares individual value.

We expect April to suck. Although we are making money on dividends and sale of stock it will only help to offset the fallout from TNW's decision. If no one takes over the company, a liquidation will likely result in further losses for KDC and its shareholders.

Also we are seeing money leaving this market and don't forsee any reversal in this trend in the near future. It is my expectation that prices will continue to drop across the board, with very few exceptions.

I will not be posting any further dividends until we know what the damage from TNW is going to be. We will need to retain any earnings to offset this loss. Once we know what we are contending with we will be able to write down the loss and move on. At this point we should be able to again pay a steady dividend.

75% of Net Profit are paid in dividends. The remaining 25% are used to buy treasury shares OR kept by the company as retained earnings, at the discretion of the CEO. Periodic destruction of treasury shares at the discretion of the CEO facilitates increased earnings ratio's for our shareholders.

As such we have hit a record low this week, however we are only down 70k since I took over this company and we have paid out approximately 110k in dividends.

As long as I still have cash available I will continue to place bids out there for KDC. I have so much money tied up in the market its do or die for me. A few hundred bucks isn't going to save my backside. I would far rather gamble on the market in hopes of recovering some 12,500 USD. The way I look at it is I either get a few hundred bucks or I buy now and when things are resolved have even more money than I started with.

Everyone needs to make thier own choices here but seriously folks dumping your stocks is only going to hurt your pocketbooks at this point. At least if you keep them you will have a chance at getting something out of all this. Stick with me and if we can continue trading I will continue to apply the same techniques that drew in some 300 percent profit for me since June to KDC and share these profits with each of you who owns KDC stock. Or... sell them for half of what you paid to me and I will keep it for myself... up to you.

The Allen shares have been absorbed into the market and while we still have 300k shares of KDC under BBX's management, Mr. Beck kindly agreed to hold these shares for several months to alleviate any further severe downward pressure on our stock price. I have purchased an additional 60517 KDC shares to add to my own personal portfolio as well as 5250 shares I have purchased for a clients personal portfolio.

I expect regular dividends to be paid to all KDC share holders for the near future and may go to bi-monthly payments. I will continue to work hard to earn dividends for KDC as well as increase average share value.

Also, food for thought; currently our software has no simple mechanism for actually performing the split itself. We'd have to charge you our actual out-of-pocket costs (programmer and data entry) to facilitate such a move... if you'd like me to get a quote for you I am happy to do that.

"The wretched truth about reverse stock splits"

These desperation moves - bundling shares for sale at a higher price - rarely lift faltering stocks for long. Odds are better for short-sellers. Heres what to keep in mind.

In a last-ditch effort to cling to their listings on the major stock exchanges, many companies such as Lucent Technologies (LU, news, msgs) may be resorting to the markets version of the Hail Mary pass in coming months.

Pay attention, because these desperation plays, known as reverse stock splits, can signal sharp declines ahead that could wipe out a good part of your wealth.

A reverse split is simply a maneuver to get a stock up above $1 and thus free of the danger zone that gets companies booted off an exchange. Managers typically cobble together as many shares as it takes to get one share worth more than $5 to win their reprieve.

Though the intentions seem sound, its better to look at a reverse split as a flashing red light warning that you may need to kick a stock out of your portfolio. As many as 75% of all stocks wind up trading lower after a reverse split.

Investors who failed to sell shares in several reverse splits in just the past few months have seen their holdings get hit by 60% or more in no time, despite the overall market strength.

Big losses

Internet-strategy consulting firm Razorfish (RAZF, news, msgs) narrowly clung to its Nasdaq listing with a 1-for-30 reverse split last July. The move readjusted its share price up to about $5 from less than 20 cents. Since then, the stock has drifted down 67% to $1.69. Click Commerce (CKCM, news, msgs) lost 63% in the three weeks following its reverse split in early September, trading down to $1 from around $2.75. Likewise, Holiday RV Superstores (RVEE, news, msgs) shed around 67% to trade under $1 from about $2.75 less than two months after its early August reverse split.

Other companies recently launching reverse splits -- or mulling them include AT&T (T, news, msgs) and many of the other former high-fliers trying to repair the damage suffered since the market bubble burst. Palm (PALMD, news, msgs) and fiber-optic component maker Stratos Lightwave (STLWD, news, msgs) have recently resorted to reverse splits. So have Internet software providers Commerce One (CMRC, news, msgs), Verticalnet (VERT, news, msgs) and Docent (DCNTD, news, msgs).

Some companies using reverse splits will survive and prosper, of course. But on average, shorting them can bring gains of up to 37%. Thats how much, on average, stocks tend to decline by three years after a reverse split, according to academic studies. (Investors short stocks by borrowing shares, selling them and replacing them later at a lower price.) A good portion of that decline often happens in the first few months.

Smaller companies -- or those under $500 million in market capitalization -- tend to do the worst. On average, they fall up to 44% three years after the reverse split, says Crocker Coulson, of the investor relations firm Coffin Communications Group. Reverse splits are harder on Nasdaq companies than those listed on other exchanges.

The reverse split jinx

Why do stocks usually sink after reverse splits? The answer is simple. A stock isnt trading under a dollar unless it is pretty close to bankruptcy or it has some other serious troubles, says Charles Jones, who teaches finance at Columbia Business School. And that is not changed by a reverse split.

Put another way, reverse splits are like a message from management that the underlying business trends are so rotten, they wont be enough to get the stock price up to snuff.

To be sure, companies cite lots of good reasons to do reverse splits, beyond the need to meet listing requirements. Many fund managers shun stocks under $5 because they appear too speculative. Investors cant use margin to buy stocks under $5. And Wall Street brokerages are reluctant to push stocks down in this trading range. All of these factors limit demand.

Whats more, a lot of companies simply have too much stock outstanding after the excesses of the market bubble days when they created huge numbers of shares to support stock option bonanzas and pointless acquisitions. We are still recovering from the great binge of the late 1990s, says Coulson.

The pitfalls of shorting reverse splits

Even though 75% of reverse splits end up declining, it is not as easy making money shorting them as you might think. The 25% that go up can go up so much they wipe you out, says Andrew Lo, a finance professor at Massachusetts Institute of Technologys Sloan School of Management.

For example, j2 Global Communications (JCOM, news, msgs), which provides messaging services, shot up an impressive 800% to more than $27 recently. Its reverse split came just 18 months ago. With that kind of risk to shorting these stocks in mind, here are the key investing rules to keep in mind.

Avoid shorting companies whose prospects improved around the time of the reverse split. Interstate Hotels and Resorts (IHR, news, msgs), a small Washington, D.C.-based hotel management company, slipped to $2.50 per share from $3.40 immediately after it announced a 1-for-5 reverse split at the beginning of August. Anyone who stayed short through that reverse split would have gotten crushed by now, however. The stock has moved up 60% to around $4 per share recently, in part because of moves to cut costs and improve financial strength following a merger, says John Emery, the president of the company.

You also have to consider the fundamentals for a companys sector, of course. Lucent, which is asking shareholders for permission to do a reverse split because its shares are hovering dangerously close to the $1 mark, believes it will be profitable next year. But if overcapacity and weak demand for telecom equipment continue to plague the sector, Lucent shares will be a good short if it goes through with a reverse split that would take shares back up above $15.

Avoid shorting the reverse split stocks with decent financial strength. Ethyl (EY, news, msgs), a small Richmond, Va., producer of fuel additives and lubricants, might have appeared to be a good short candidate after it did a reverse stock split at the end of June. But a closer look would have revealed good enough cash flow to survive -- despite high debt levels that were troubling investors.

Sure enough, Ethyl -- which has no coverage by Wall Street analysts -- recently tacked on a short-killing 50% when it announced good quarterly results. Most of the penny stocks that do reverse splits have cash flow problems, says David Fiorenza, finance chief for the company. But we make stuff and sell stuff and we have good cash flow. The company is also around 30% owned by insiders, another sign of strength to watch for.

Avoid shorting companies doing a reverse split for appearances. After AT&T spins out its broadband business to Comcast (CMCSK, news, msgs) in the days ahead, the phone companys shares will trade in the $5 to $7 range. Thats not low enough to get kicked off the New York Stock Exchange. But it seems too low a price for a company with $40 billion in annual revenue. Thats one reason AT&T plans to do a 1-for-5 reverse split to move its shares into the upper $20 range.

Other tips

Remember that reverse stock splits that dont take a companys shares above $5 may be difficult to short, because its often hard to short stocks below $5. Most reverse splits, however, do move shares back above $5. Typically the less dramatic reverse splits -- like a 1-for-2 swap -- dont suffer as much. If you are hunting for reverse splits to short, look for cases where massive changes are needed to get a stock up to a respectable price level, like Palms conversion of 20 shares into one share.

Despite some exceptions, the bottom line is that most reverse splits spell trouble because theyre simply cosmetic changes that do nothing to reverse ugly trends at a company. Perhaps Yogi Berra put it best. When asked once how he wanted his pizza cut, he quipped: "You'd better make it four. I don't think I can eat six pieces."

Karlfeldt & Delgado Mutual is selling their majority hold in Karlfeldt & Delgado Capital (now known as KDC) to Dezmond Martinek (now known as buyer). A total of one million (1,000,000) shares will be transferred to buyer in this transfer, along with all assets that KDC possess excluding Karlfeldt & Delgado Tower, and the land it is placed on. These assets include 8,752 shares in BBX, 21,198 shares in KDC. 166,428 shares in ZEN, 500,000 shares in BNT, 726,719 shares in GPB, L$20,000 to be placed in an administrative fees sub account, all L$ currently in Legolas Delgado’s (now known as seller) sub account labeled transfer, currently at L$ 95,133.78 on October 22, 2007 and the ending balance on the 90 day CD currently held by KDC at LLBnT. At the same time that the shares and L$ held on SLCapEx, and all shares of BNT and GPB, have been transfer to buyer. L$100,000 will be transferred to seller as payment to seller.

The transfer is to take place not before November 1st but on that day or soon after. Seller will post the financial report for the month of October before the transfer takes place. Seller will remain CEO until the transfer is complete. When the transfer is complete seller will step down as CEO and buyer will then become the acting CEO of KDC. Seller will remain in KDC in an advisory position only supplementing buyer’s ability to run the company. Buyer will now be liable for all weekly updates and monthly financial reports.

This contract is pending approval by SLCapEx and their willingness to support the transfer. LukeConnell Vandeverre, and IntLibber Brautigan will also be contacted and expected to transfer shares that are held on their respective exchanges.
