Another month! It's amazing how time flies. So, what's happening at ZEN? In short phrase, A LOT!

First, I totally missed the boat last month regarding the financials. Because we were able to get all the boxes in our holding alt's name so quickly coupled with an exceptional effort on behalf of our staff and board we were able to produce a profit of L$38,216 for the month (Arnaud has posted the financials in the appropriate part of the forums). I am so happy to see this, and the future of ZEN looks just as positive. To that end, a dividend of L$.01/share is being declared for this month and should be paid in the next few days.

So now our operational status. We are currently running at about 85-90%capacity. Its really inspiring considering the environment. We also are pleased that we have not been affected at all by the recent change in LL policy regarding open sims. We have four class 5 full sims. So all-in-all we look healthy going in to November.

As far as our goals, let me bring you up to status:
-Completion of the new ZEN HQ and community center (currently 75% complete)
Work continues on the community center. This month we will be furnishing the build and finalizing everything.

-Begin work on a new boardwalk project
This project has been put on the back burner for now, although discussion and pre-planning will most likely resume toward the end of the month.

-Identify deadbeat tenants and remove them from the property
This has been completed :)

-Revive ZEN Live! and begin scheduling events and concerts
This is ongoing. We are working to secure a media manager at this time and have a solid candidate we are working with. In addition, some other changes to ZEN Live are being discussed as part of our town hall meeting feedback.

-Complete an exciting Halloween promotional
OMG if you missed this you really missed something.

In addition we’ve identified and defined the following additional goals for the month:
-Complete ZEN Company organizational analysis and provide all employees with titles, clear job responsibilities, and compensation plans.
-Create duties and responsibilities guidelines for board members.
-Begin creating individual goals for the business units once organizational analysis is complete.
-Build out ZEN shops in the new community center.
-Conduct regular town hall meetings to gather the community feedback.

SO, it's been a great month for ZEN. We still have growing pains and the regular day to day issues, but overall I'm so proud to see that our team has gelled operations so quickly. I look forward to the point when my focus can move from laying the infrastructure to using that infrastructure to move ZEN forward into the future.

Now onto our operational status. Currently the sims are robust with community. So robust, in fact, it’s sometimes hard for me to get any work done with all the people flying about and asking questions. It’s a good problem to have though, for both ZEN and our clients. I wouldn’t have it any other way. I love our traffic and appreciate that they choose ZEN as a destination for their time in-world. And why wouldn’t they? Between our bustling Fifth Avenue shopping district in Tamaqua, our gallery shops in Panther Valley, our resident community in Tuscarora and our vast space and woodlands in Blue Mountain we have the right mix to fit pretty much everyone’s needs. ZEN is an experience unto itself and that dream was masterfully achieved by Zaldar.

I would like to share with you a few things we have done over the last month and bring you up to date on our transition. Over the last month we have been actively reviewing operations. In that period of time we have:
-Installed a management board to actively maintain the estate
-Conducted and completed an initial survey of all four sims
-Created a holding alt to provide for clean and transparent transactions
-Installed ZEN rental pavilions in each sim with rental boxes for each tenant
-Identified potential ways to reduce excess indirect expenses
-Began reviewing promotional activities and other ways to optimize the organization
-Established basis for new projects, such as a new ZEN HQ and community center

As you can see, we’ve been busy. But the work doesn’t stop there. For this next month we are working on:
-Completion of the new ZEN HQ and community center (currently 10% complete)
-Begin work on a new boardwalk project (currently in pre-planning phase)
-Identify deadbeat tenants and remove them from the property (currently underway)

We also have some inefficiency that must be wrought out of the organization. Forecasting for the month of October I am not expecting grand results, perhaps even a loss. I think it only fair to let you, the shareholder, know this upfront.

It should also be noted that financials were posted on October 4th by our CFO, Arnaud Villota (see that section in the forums). We decided to hold off on a dividend this month to ensure continuing operations. If any of you depend on a dividend and are facing a shortfall, please let me know and I will work to find a solution for you.

Overall I am highly encouraged and optimistic about the state of affairs with ZEN. I expect that it will take another month or two to really put everything through the wringer and shake everything out to make ZEN the best it can be. The good news is that we are in the black! The sad news is that we won't be paying dividends this month as a precautionary measure (blame me, now that I'm responsible for the financials I'm suddenly a conservative! :) )

Once the transition is completely finished, and we are way ahead of schedule on that, then dividends will once again resume. I apologize for the dissapointment this month but want to thank you all again for your patience through this transition period.

Also, as you look at the income statement, please keep in mind that the numbers were reconstructed by Guardian Market with the best information available due to Zaldars computer crash as discussed in the prior post.

You will notice that we are keeping the numbers very conservative this month, thus the loss in retained earnings. We have done a complete audit of all ZEN sims and we are confident that the loss will be only for August.
There are sufficient renters to meet or exceed tier for September so hopefully I will have better news for you in 10 days with the September financials. I will begin working on those once these are approved.

The balance sheet has been reworked to make it more conservative. The two big changes you will see are Long Term Investments are no longer listed, because those were Zaldars private investments not those of Zen; and the Common Stock has been revalued to .01 Par value which is customary and also makes the balance sheet more conservative. The paid in capital represents the IPO proceeds (From all investors except Zaldars stock) plus the investment made by Ashleigh and myself to purchase Panther Valley. We received 300,000 shares (150,000 a piece).

The problem is that we need to estimate income from August 1 through August 20 because after Zaldar's machine crashed his daily records went with it. As you know Linden Lab only allows us to grab the last 30 days of transactions history. So we know exactly what happened from Aug 20 on, but we have nothing on record prior to Aug 20.

This doesn't present a major problem. Guardian put together an Income Summary that states as best he can the state of affairs for August, and Zaldar has been helping a lot explaining balance sheet items and answering some off the wall questions from yours truly. :) We know for sure that all tier has been paid for all of the SIMS so ZEN is solvent and that's the main thing that counts. We have made a few changes to the balance sheet as well bringing it into better compliance which actually has simplified it as well.

I am attempting to find a site where I can publish the spreadsheet version of the financials. If I can't find one, then I will post the text version in this forum.

Over the weekend we held two sessions to collect investor thoughts and comments regarding our company.

In Friday's session, we had two investors in attendance.
In Saturday's session, we had no investors in attendance.

A quick recap of discussions from the sessions:

- Financials are being completed at this time. iVentures Group has assisted us in pulling together the information, however there are still some outstanding items, and unfortunately we have lost transaction information for the beginning of August. Arnaud Villota is spearheading the completion and we hope to post both August and September by the next deadline. More information on this will be posted as available.

- A full operations and parcel review has begun and is about 75% complete. We have established a holding alt to allow for transparent and clean transaction info going forward. We are in the process of installing ZEN rental pavilions in each of the sims, which allow tenants an easy, convenient access to recent ZEN announcements and a central place to pay their tier. We have also started utilizing a project management system, central desktop, to help us organize our thoughts and share information more efficiently. The project management system is being paid for by me for the time being.

- We currently have all our open land available for L$1/Parcel. Tier rates are now L$1.7/m2 per month for Tamaqua, Tuscarora, and Blue Mountain. Rates in Panther Valley are L$1.9/m2 per month, due to a high prim bonus. We have had much success with our sale, specifically in Tuscarora where 8256m2 was sold this weekend, representing the entire available inventory.

- Further discussions included revamping our road system, building a new HQ and community center, ZEN 5th Avenue and holiday promotions. We also have a few other projects in the works.

I am writing on behalf of the proposed Board of Directors to inform you of proposed changes in our company, both in management and in operations.

First and foremost on everyone’s mind is the financial reporting issue. As noted before, Zaldar has issues with connecting to SL. His communication access is limited to phone and the Drexel University computer labs, which only allows access to email. We are diligently working on this issue, and have retained the iVentures group to work with Zaldar on getting the numbers together.

Now on to some other issues that the company faces. Currently our sims are running just fine and we are not in jeopardy. Quite the opposite, our community is strong and, as you can see from our response, we are dedicated to our shareholders and tenants. But, unfortunately, I have to advise that Zaldar is also facing a large amount of time consuming RL projects and issues that will require more of his dedication. I want to acknowledge the halt in trading and advise that we are currently working with Zaldar to complete the financials. Among other reasons, the delay has been caused due to the crash of Z’s laptop, and the fact that his access to email is now limited to his university’s computer lab. During his limited access Arnaud Villota, Annabis Moody, Gabrielle Maktoum, Strider Messmer, and I are working on the estate and maintaining day-to-day operations.

Financials will be completed ASAP. Bear with us as we gather everything through Z’s limited access. We have requested the assistance of the iVentures Group to help us gather everything together.

A full release outlining some proposed changes in ZEN will be forthcoming in the next 48 hours. We look to hold a shareholders meeting next week.

In the meantime, it’s business as usual at our vibrant community, especially our 5th Avenue shopping district. So pop up that map, search for sims Tamaqua, Panther Valley, Blue Mountain or Tuscarora and explore what makes ZEN’s Ata one of the most exciting and vibrant estates in SL.

I think its not realy a surprise that the market doesn't react.
In the last time the market was flood with bad news and most of the few good news where fakes (MNM buyback plans).

At the moment the general atmosphere is negative.
People lost to much with SLW and MNM (more then 100 milion Linden liquidity trapped and probaly lost in this two
Companies). That makes people think that investing in companies in a stockexchange means to throw money down the drain.
More then just a new sim is needed to break this trend.

We are also looking into finding people interested in owning a void sim. I (Not ZEN) will pay half the price of obtaining the void sim for you and it will cost 85$US a month to keep. Although you will have all rights on the island we will be making the land space smaller and keeping about 500 prims free so to allow boating around our 3 main islands. If you are interested in getting the void sim

and just for those interested in why I am paying for half of the the void sim not ZEN.

I am investing my own money in the company technically to keep ZEN from taking a large blow and allowing me to keep the prices lower since I am ok with getting my investment back slowly. this is just a precaution due to the slightly unstable land market in SL right now.

75$ a month for a void sim to LL
85$ charge to renters. (The norm seems to be 90$)
10$ profit
5$ to ZEN
5$ to me until the purchase price is recovered

The release of the FREE Use ZEN Stream a few have jumped up with applications. It is starting a little slow because people may be confused as to how it works. If you are interested in being able to use the stream contact me right away!

The New Monorail system is fully funtional, It travels across all 3 sims and back. Although right now with how SL has been it tends to stop working every now and then so I need to reset things, but overall they are pretty cool to use.

So today I am starting the Free ZEN Rental Stream Project on the ZEN sims.

I rented a stream at 128k and max of 50 listeners.

Here is the application I created for the ability to have use of the stream. This is usually a notecard so if you want to apply put it in a notecard and send it to me.

============ZEN Free Rental Stream Application=============
So you would like to take advantage of our free stream to use on your land? Well there are a few rules you will need to follow by.

1. You must schedule when you need the stream on our google calendar page. A name and password will be given to you should the application be accepted.

2. You can only schedule for a maximum of 3 houors in a row with the stream and a maximum of 6 hours per day and a maximum of 12 hours a week. If you need more time that allowed please send a notecard to Zaldar Rhode withe the time needed and the reasoning.

3. You must promote ZEN through the stream atleast once per hour. I mean c'mon you get to use this stream for free a little advertising is all we ask.=P Also Do NOT advertise any other company unless it is yours or a company within our islands.

4. You must be a resident of the islands to use the stream of be a member of the community.

5. The stream name and password will be shared with many people so please do not share the stream with people you do not trust. The stream should only be used by by your or your DJ if they are a separate entity.

6. You can only use the stream when scheduled. Using the stream when not scheduled will end with your priveledges revoked.

The objective is to first find the 10 gold coins, then second they need to find an interesting way to photograph them.

Some will be difficult to find, some will be easy, and some will be in areas where you really need to be creative to get an interesting picture.

They will all also be located under water.

There will be prizes from 1st-3rd place.

1st - 5000L
2nd - 1000L
3rd - 500L

There will also be an audience choice award for the best photo taken overall. I am not sure what the prize will be for that yet.

The places will be decided by
1. if they find all 10 gold pieces. (10 points)
2. originality of the photo taken. (20 points)
3. Use of the environment. (20 Points)

I will also need 2 or 3 judges to judge along side me.

Now that I have posted the idea. What I would like are people who would like to help sponsor the event. All contestant will get a sponsor box filled with any goodies you want in the box for them. The more sponsors we have the larger the sponsor box available to the contestants.

It is free for contestants to join so it is a great opportunity to get advertising to people.

THAT is a major problem. the point of the forums are to keep in contact, ask questions, suggest ideas, and see if you can help. Along with many other important things that keep a company going. What I have found is that everyone who invests (Except for a namely few) are only here to try and get a quick buck and then leave. Well I need to say that if you invest and then HELP the company in any way you can, YOU are more likely to get PAID.

I've learned to get my customers interested in investing in my company because then they are more likely to help with the company because they are part of the company.

I don't know. I just feel that all everyone does is complain because a company went under, but instead of everyone offering to help try and save the company it just becomes the blame game, and then an all out fight that has nothing to do with the company. So my thought to you all is to STOP yelling at each other and START working with the companies you are invested in. If you don't feel like helping then you don't deserve the right to complain when things go wrong. And if you are helping, you are more likely to find that things are going wrong sooner and if they still don't want your help you can get out of the company.

This is just my 2 cents lately.

Tamaqua attracts the people who want to buy, at least it seems that way. Since Panther Valley is part of the ZEN brand I have to believe that the same result will happen there. Ok. So this month we lost a few land owners in Tuscarora due to the current economy in the US. This is making our jobs a bit tougher in finding people who want land.

On another Note. There will be a secondary going up at .01L per share for 300,000 shares, BUT this is only for me to purchase due how the system is setup you can only add shares through a secondary. These 300,000 shares will then be split 50-50 between Arnaud Villota and Ashleigh Wade. They had already given me the money for the third island before we went through with the secondary thinking they could just be added, but we were wrong.

So please do not freak out over the secondary prices.

And on the last note, There will be a dividend. It was supposed to be paid out last month. It will be paid when the additional 300,000 shares are added into the system.

Also lets not forget that ZEN is not just land alone but also has unique properties like ZEN Live, a concert venue which brings people in to visit and shop on a regular basis. There is also ZEN Fifth Avenue, a beautiful shopping district in the heart of Tamaqua. And let's not forget ZEN underground. These all add intangible value to the company.

Other than the obvious push for HOT (which is probably a good buy) I am confused as to why you value DCTY at L$2 target with 2 islands, but value ZEN at L$.75 target with three islands and a four on the way? Am I missing something?

Ok with the 3rd sim purchased. We are currently at the waiting stage for it to be delivered. Once it arrives I have most of the town wanting to take part in building it up to match tamaqua. We also have a few interested parties in buying land there. if you are interested in buying land contact Zaldar Rhode right away. The new sim will be called "Panther Valley"

Also with the replies I received. I was pleased to know that everyone was fine with the adding of the new sim with an addition of shares. So we will be adding the shares and splitting them between Arnaud and Ashleigh. and they will need to hold those for 12 months.

The contract for the 4th sim is almost completed and agreed upon. just making a few final changes and we will be in good shape for number 4.

I have no opinion on the lockdown period, but as I believe their investment is for the long-term, 12 months would be the safe option. If others are fine with shorter, I have no problem.

No problems with the private investment either. In fact, that speaks yummy volumes at how well the estate is run given that the investor could go on without ZEN. This is just more for all.

[18:13] You: So what this will do is add 300,000 shares to the total of our current 2,000,000 shares.

[18:14] You: yeah
[18:15] You: This will dillute the share prices slightly for everyone
[18:15] You: but with the added island it should not be in anyway noticeable
[18:16] You: We have the Ok from Bogart and Slcapex, but we wanted to make sure the idea was ok with the shareholders
[18:16] Anastasia Gazov: Would the secondary be L$1/sh?
[18:19] You: ok. The secondary would be .88L/share for 300,000 shares. These shares are not allowed to be sold for a minimum of 6 to 12 months. and the shareholders will get to vote on how long the lock-up will last. between those limits

[18:24] You: The second bit of information is that an investor recently approached me interested in privatley investing in an Island with us. We are currently working out a contract with him, but for now it seems pretty certain that it will be happening. So we will then have a 4th island coming.

[18:25] You: Yes I would still like everyone to vote
[18:25] You: because my vote depends on how everyone else feels

[18:26] You: Now for what is happening with the private investment.
[18:28] You: The basic scheme is he invests the money for the island. the profits are split 75/25 75 to him 25 to ZEN until his initial investment is regained. then it will be splot 50/50. This profit will only pertain to that one sim and not to all of the profit gained by all islands.

I was recently approached by someone asking me questions about ZEN, and I thought it was important information that all shareholders and interested investors may want to see.

1. Your business model.

<Q> What type of land do you buy and how do you generate your income. Do you buy sims directly from LL or do you buy it from other people?

<A> Well it all depends on what deals are available. Currently we own 2 sims. 1 bought through LL and the other bought through resale. Resale to me is riskier and also if the land is already inhabited, it makes it harder to mold the land to match your current island. This makes it more difficult to make it appealing to everyone. ZEN will probably stick to going through LL from now on especially since the price of islands has dropped.

<Q> Do you sell the bought sim by pieces or you rather rent it.

<A> I sell the land for the cost of one months rent and then set up a directory of rent boxes to reduce lag around the sim. So everyone goes to the same building to pay rent for the month.

<Q> Do you sell or rent ithe sims raw and let the customers develop it themselves or do you develop it prior to offering the land to your customers?

<A> This is a 50/50 go. We set a theme for the island and give it a rough beginning and then let the land owners mold the entire island. Tamaqua looks nothing like we had originally built it as. The land owners worked together to build the streets to their liking and together they made it look awesome, This we believe is a great strategy because the landowners become friends and then they all work together to make the sim work on a higher average than other sims.

<Q> If you develop is it residential or commercial prperty?

<A> Once again this is a more 50/50 go. I usually leave the destination of the island up to the people living there. So to start, the islands are always mixed commercial and residential. This is more because we are trying to create a realistic city life. In the future we may limit limit sims to one or the other, but for now we are sticking with mixed.

2. Profitability.

<Q> How much expenses other than tier to LL do you spend monthly to operate one sim?

<A> Expenses other than tier are very minimal. My employees are more my best friends and we work together, many just to do it for fun. So what their pay ends up being are shares of the company to sell or hold for dividend payments. The only other expense is for shows at Zen Live Stage. we limit our expenditures to 10000L a month but we tend to look for performances by people who sing for tips only. There are other expenses that show up from time to time, and are listed in the financial reports.

<A> If you develop (build buildings on sims) - how much is the development?

<Q> My builder Pixelsage Guru is one of the top builders in SL and we work together, and he works for fun as well. I allow him land to sell his items on for free.

3. Marketing.

<Q> How do you attract new customers?

<A> This has always been a challenge for everyone, but due to the community aspect of the islands, When a new sim opens or land opens, people call up their friends and say "quick buy this land". But also I have a commission deal when land is starting to get hard to sell. But most of the time it consists of me and a few of my friends going out and finding people interested in buying land. So in the end there is no cost of advertising although I do do some minimal advertising in certain places.

<Q> What is your product compared to your competitors?

<A> The community aspect is what is missing from every competitor, and if they do have it, it usually does not cross sim borders where here it does from edge to edge. We also have a town setup where the leader of the town board sets up town meetings when needed and informs me of what they want changed if I could not attend. Thus keeping the company in touch with the concerns of all its residents.

I personally feel that the ZEN lands are among the fairest and best managed in SL. I have bought and sold pieces of many islands and mainland property in SL over the last year or so, which is why I am a part of that 28.05% of the land owners of ZEN now. I found a good home where I am treated with respect. I think ZEN offers it's own personality to SL. I hope that it continues. It is a pleasant experience.

Apparently I get only a 10% commission for each egg sold. Since that is so meager, I will add an extra 40%, so in effect 50% will go to the charity for each egg sold from my vendor on Tamaqua.

So buy the eggs and let's have a good time and get some traffic going!

I am also hearing rumours of an Easter Parade! I need to find a bonnet I guess.

Well last night I was messaged by one of my tenants. Tamos Shan. He had told me he found a "Hidden City" under Tamaqua. Well wondering how that could even be possible on a sim that I have full control over I had to go and check it out.

But to my astonishment there was a hidden city! We are calling this discovery the "Tamaqua Underground" Tamos claimed his bit of land and plans on opening either a club or shop. Althought it has just been discovered, we feel that there is something more interesting to this place than we perceive, but only time will tell.

I invite all of you to come and check out the newest addition to Tamaqua. The Tamaqua Underground. To get in, just check sneak past boards to the closed down subway, and there is a hole in the track.

Well time has been what I have been lacking the past month. The sims are still running fine and I have Pixelsage Guru to thank for that. The ZEN Live stage is doing great and we already have a regular singer who does an awesome job. You should come check us out.

5th Avenue is the new name of our main street in tamaqua and Strider Messmer is working to make it the most popular place ot shop in SL. ZEN live is having a huge show at the end of the month with UKD project, which will help the ZEN Emporium (Which we are not affiliated with but gave our approval to use the ZEN tag)
