There are a few weird things we have to do to create a VACANT SHELL (like IPO it with ONE SHARE) to get the backend DB links to all work correctly (there's a whole bunch of crap that the IPO LAUNCH function does that we've automated to keep DB Administration simple)...

Mateo is coming out with a new IPO called Pheonix. Or is he? As soon as I saw that only 1 share was available, I of course considered buying it, but as soon as I refreshed for upto date info, the IPO was gone.

I do not think that there is another good formula.
Like microsoft windows ..... I have to see that second life and have 3d worlds that the only logical future.
The important thing in this issue are rules and ways to play in this world because it can be very good and positive for the game.

At present I am going through trial classified ads using different amounts, to get to a comfortable amount which will be as effective as possible. I also aim to be placing the majority of MiLOS products on SLExchange. The owner of the land that the main store sits on has two fashion shows per month and I have several outfits which appear in these.

In terms of the estimated 400k in paid-in capital, I aim to leave it as an asset on the balance sheet. I will only be using the generated IPO capital for purposes which are certain to benefit the company and the shareholders.

As mentioned in another post MiLOS Designs is not in need of capital for the business to function, and therefore my main intentions are for the full amount to appear on the balance sheet.

On the Income Statement "Product Posters/Artwork" represents the expense that was incurred in producing each product poster that appears in the main store. This is also the case with the artwork which appears in store. I have worked with a graphic designer to produce these images I have chosen to show the amount that has been paid to the designer as an expense. There is some level of debate as to whether the product posters could be reported as an asset, however the intangible world of SL has made me choose the more prudent approach.

I currently don't have a website and I will send you a LM in world.

In terms of possiblities I think that MiLOS Designs has every opportunity to become a well known brand within SL, and I aim to provide the company with good direction.

Another key selling point is simply by providing investors with information. I think transparency is a key point with a listed company I aim to provide that to the fullest.

Roughly: selling advertisment (e.g. personal) through multiple-vendors and campers who will watch these announcements. On one hand there is cost of attractive way of camping and on the other hand the income of renting vendor space to rl business. For a lot of players in SL camping is the only way to make money and therefor they search for good campseats. On the walls of the place rl or sl business might be able to rent static vendor space. But that will only be attractive when there will be viewers to watch it.

On the sim there should be an exchange possibility for rl businesses to buy L$.

The vendors should be scrolable ones with 10 to 20 different commercials/advertisements. The camper will only earn money when he/she shows activity in reading and scrolling the multiple vendors. Security problem to solve is avoiding bots being readers. Connecting the vendor to a campseat has been done before.

When business is growing I think about having special multiple vendors with themes. eg IT, car, hospital or whate ever category you might think of.

Prices to rent space in a vendor should be some lower then a small newspaper price and the payout on camping should be better then the ones you find in SL a lot. The difference will be the profit to make.

My partner Robert is working in RL to attract rl businesses and government to rent vendor space.

In January 2008 I was given the opportunity to takeover a small business, selling shoes and sneakers. I started with 5-8 ranges of sneakers for both male and female. Within the time from January to now I have increased my product range to accommodate for a wider variety and more diverse selection of shoes and sneakers, and I have also acquired rights to products including jewelery, accessories, clothing, skins, tattoos etc.
I currently have an open space sim with a half a sim store placed and am in the process of product placement. After a grand opening event I hope confirm the alteration from the previous main store to the new one. New forms of marketing, advertising and general business opportunities will be looked at.

I am simply seekings opinions from people who can give any insight into whether MiLOS Designs could be a listed company.

Anyway I reckon that VSTEX as well when it comes to other items puts them in not so obvious places. And yes, there are rules slipping through the cracks or partially applied, or not fully enforced. That's expecially true for us, mostly because we have the largest set of rules on the SL exchanges panorama, a set of rules often amended several times a month.

Well, about IHI I doubt it's a translation issue. I am not sure how that would sit with national securities laws. For us, I never checked. Staying out of it altogether is maybe the safest approach to the issue.

I read over the IHI prospectus and I'm not sure if there is a translation issue there? Can someone point out to me where it says they are going to invest in RL securities? The way I read it the intention is to invest capital in RL internet projects ala Arb and Juice Trading.

I'm wondering if something along OIG's lines couldn't be considered an investment club type activity (pooled capital for higher return purposes). I am not versed in securities laws and my inkling is to just stay away from something like it altogether, but with the myriad of jurisdictions and laws that could apply here it can become confusing very quickly. Is someone here versed in Brazilian securities law? Maybe they can shed light?

I would like to agree with Legolas and Marc 100%. Core product companies are sorely needed. Financial companies are easy to build. Real products are not.

The neglect in ACE terms should be brought to thier attention. I know the ACE board had meetings this week to address and implement new controls (i.e. fianancial report timeframes and requirements). I'm sure each exchange has rules and regulations they've published that have slipped through the cracks or have been adjusted and not updated or enforced. We as a community should point out this issues and address them accordingly. btw - the listing requirements for ACE are listed in the About Us section.

I think the SL financial community pretty well killed itself - here has been my experience.......

I joined SL found the WSE - actually had a couple months of fun tradng on there. I found it was a fun little community then Luke closed it down and kept all out Lindens. So then I went looking for a new place to do a bit of trading and stumbled over here. Unfortunatly I arrived only a couple weeks before the JTF/SLW scandal and then cringed through the rediculous MnM IPO.

I also looked at some other smaller markets - but realistically there is not much volume anywhere. Even I dont really throw any money in anymore cause I have 0 confidence. There are a few good companies around and few good ceo's and some fun concepts. All in all though hardly anyone wnts to invest considering all that has happened basically alot of big money has been cashed out of second life - Ginko over 500k usd - JTF over 300K USD and WSE XXXK USD (Im assuming WSE had well over 100K USD sitting in deposits). So thats basically a million dollars investors have lost that has been cashed out of second life - this does no inspire much confidence in the financial world in general.

Quite frankly - the idea of an amature asking for lindens to invest in RL securities is a recipe for disaster. The fund is only looking to aise 1million lindens that basically about 4000USD and he claims he is going to have a 'divisified portfolio' lol

In anycase im sure investors will make their own decisions on that one.

Now that policy is nowhere to be seen in the IHI prospectus and at a first glance that rule is not enforced at all on the ANCAPEX. Even the ACE prospectus is missing that part.

Maybe someone here trades on the ANCAPEX as well and can shed some light?

On a side note, in order to get to their listing rules I had to begin a listing application. Those rules don't seem to be publicly available, but since I'm not confident with their platform, I may have missed something.

Honestly, it might not have be that drastic. The ATMs might be removed. SLCapex might be 'compelled' to pull that specific listing. Or the owner of the ATM(Arb) could be banned. But these are all things we'd like to avoid, yes?

I didn't see a clause in the TOS that stated all companies had to comply with their respective environment's TOS. But I guarantee it's factored in. Also wanted to add that MNM has an 'rl component.' What I don't know is whether RL assets would afford 'virtual investors' any special rights or remedies.

Anyway, you're a nice guy Sports. I mean no offense. But even if the gambling policy changes, I highly doubt an exchange would accept such an IPO. It might be something you want to consider doing privately under the guidance of counsel.

And you call the group a share holder group. But why would someone who is buying shares have to re-buy them from the company? I understand you are new to investing and raising capital. That is fine, we all were at one point. :D

Spm, it may not be something you look for per say, but it easy easier to understand something when it is well written. I also would never invest in a company without a solid background, and reporting.( Of course unless there was a larger reward to go with the huge risk.) But his post does not even include any hard numbers. If he had given us number to compare, I would have not been so worried about this being a scam. But bad writing coupled with no real information through up so many red flags I bother not to count.

Regardless of whether your offer for investment is legit or not, I can only agree with Legolas' statement that a professional presentations is key to running a professional business.

SL is an international community and an excellent tool to pick up new skills and languages. If you are able to communicate fluently in two languages, use that to your advantage.

While English is the language most commonly used in these forums, there is no doubt that there are many an investor that also are non native speakers, and they might be more pleased to read an announcement such as this in French or Dutch. If English is not your native language - neither it is for me - you should think about bringing someone aboard that is more fluent at it, or present your ideas in a language that you fully master.

If you could provide a business plan, projected earnings, past earnings and a location to your company in world, it would help a lot to get potential investors interested.

First of all this: it's impossible to invest 200K in the company, indeed then i would owe u 100% of the income, so, clearly thats why i dont allow that kind of, investment. The possible amounts to unvest are clearly indicated in the offer.

Secondly, ur right about the fact that im new to the world of investments and funds-raizing. It is in no meanings my intention to set up a 'scam' or something like that, i just want to expand the business and be able to offer more joibs too people in-world (already 8 people are working for my company as we speak).

If I give him 200k he then owes me 100% of the profit from the company. I have 6 months to make back that 200k before I start making a profit, or 33k a month.
If someone else Invests another 200k. He now owes out 200% of all of his profit. Which, well is impossible. Of course, this could be an altered ponzi scheme, where by he asks more and more of investors. Paying off old investors with new money.

Share holders only invest once if they are share holders there is no reason to re-buy your shares from the company. Once you own a % of the company it is yours to buy, sell, or hold onto.

Lastly, he gives no clear details as to how much this company makes a month, or even a projection as to how much it will make a month.

Sorry, but it just seems like a scam, or someone who is knew to the idea of investing or raising capital.

P.S. If someone says "ur" instead of you're in a post about investing. Then as a general rule of thumb, just pass over the post. People who are going to make you money, will normally be well spoken and have a strong mastery of their native language.

Just arrived here with the idea of an IPO for my small still upstarting business but decided to ask for some advice/ideas/comments or avoid an ipo if anyone is interrested privately :)

Most likely no one have heard of me so here goes, I run keyless (www.klsl.net) with a web based tier system and so far a tipjar wich uses a mysql db to keep track of tips to lookup trough a dialog in the jar.

The reason I came here is pretty simple.
So far I only have 1 user for the system and that was to a good friend and my land lord to make his life simpler and at the same time see it in action for bug fixing.

The thing that brought me here is while only having 1 user, I have had positive feedback from several people who are willing to use it, but with a catch:

It must be hosted by them selfs, web and database :x

To create this and allow offsite hosting would require ALOT more time and money to purchase legal software, both of wich I don`t have anymore as mu SL budget is almost empty :(

As it is currently, it is L$6000 per island per year, wich comes down to peanuts to larger estates and very attractive for small estates so aiming for a very large market.

The current interrest at the moment (going by their words) is approximately 142 islands, this is without modest advertisements.

L$6000 * 142 = L$852,000

This would be the initiale sales figure (if they will buy subscriptions) with a "host it your self" package.
All pages would be encrypted and ingame terminal (copy/mod) would be contacting the central database for sim registrations.

The system is built while keeping in mind other emerging worlds like opensim and hipihi to be adapted without to many changes to the system besides adapting to their coding standards.

Also more products will be made with this in mind, so when a new suitable world emerges, jump in from day 1 and introduce it there.

While my budget is running out, I am trying to get an advanced advertisement system made for store owners, malls etc and is about half done but to the ones that are informed, should be something that would do very well :)

I am also recently active with NCI doing some volunteer work for AdNode, wich will get a free copy of my current project.

This will not be a overnight success to L$1,000,000 profit (but can allways hope :) and with more products to make life abit simpler for residents/retailers with the current feedback, it will be profitable if I could stay and do this full time.

I had in mind to try and raise about L$2,500,000 as my expenses are really low and could working on KL for 8 to 10 months.

With the fund raised and a "host it your self" package released and for sale, use the funds to aquire a dedicated server to host KL on with all products/services and offer very cheap hosting for retailers.

My idea was to offer like 75% of all sales untill the initial amount was payed back and then move on to like 25% so every one would get their investment back as fast as possible and keep rewarding for the vote of confidence (new at stocks so open for ideas/comments ;).

Along with that, i had in mind to startup a RL company based from home to start with to give abit more confidence in KL, do what ever I can do to make it successfull

Additional and idea cropped up for when KL makes money is to get my hands on an island, offer free space to NCI, center public free art display by SL artists, a corner for live events organizers and offer along the sim edges stall/shops for original creations or well known stores, give something to the community and creating an interresting area.

End of rant as I can think of anything else to say for a change :)

If any one has ideas/suggestions/remarks/bites, i`d love to hear them, also as a 1 person company, I doubt I could do an IPO here if the picture in my mind looks good due to some of the rules, any contacts to bypass that? ;)

Put complaint announcements in the forum so many as he/she can a day

Send mail there is Lab they Abut saying like he/she feels

Their money not this lost simple mind won't give it to him for lack of you liquidate and lost in the real life

If you think or it imagines that it is not there is all same one he/she says IF!

You won buying actions a lot but don't rot to take out neither 50% in one year

Things were a little harder but we were doing it. Right during that time i was force to be out a few weeks due to real life work. So that left Quintin at the wheel by himself with help from sky. All 3 of us were on the same page of knowing what was going on inside the sim such as Travis Ristow holding ownership of the sim and Psg making installments to bcx and the shareholders.
The first day i was gone a tornado took out Quintin Nasworthys home in Michigan and he was going to have to relocate to a home with no Internet. That left psg with noone home except sky.
What happened to the funds from psg will always be a question mark. I was told 2 different stories. What i do know for a fact that Wile i was gone Our pr guy went from a public Relations person to Fund tycoon over night. He also took the main section of the vegas sim building the was going to be rented out and made it his new office for funds.
Don't forget he did it free of charge for himself.
In the mean time, Sky never told anyone about Quintin having to leave including the stock holder and travis who was expecting a payment.
When i came back to sl after almost 3 weeks i start asking
Questions. When i found out that Quintin was gone and so was the funds, i contacted Travis Ristow that second and i also contacted the Shareholders. Psg was about to go under.

When i entered the Los vegas sim, Sky Ranger informs me that he is now the new CEO pointed by himself and as far as my knowledge, he never owned any shares of psg. So i informed the self appointed Ceo that i just kicked his sorry ass of the sim and was banned. So in works that is how Travis Ristow took over for psg.
From there on you guys know the rest of the story. I was smart and sold all my shares when sky took over PSG. Again he self appointed himself the ceo until the share holders demanded a vote. I see a long track record here and it
1) always involves shareholders not being notified
2) trust
3) money and people getting f**ked wile he is in control.

The investors I seek are 2 types. One will put their 10K in an escrow account for my use getting startups off the ground. The second type will be 100k and are the underwriters for IPOs.

I can explain both in great detail, but will focus on the the former since it's what everyone is asking about. The fund is a very high risk fund. It will have about 30 - 10k investors in it, unless IPO responses dictate more. Each person will deposit 10k into the LCA ATM at the old L&L bank main branch(now LLFS), on Port Druart. That and 100L for a total of 10,100. The 100 is the fee that LCA collects for administering the fund every month(Jan. and Feb. are one at this point). The funds are then available for me to lend(for a fee of 3k per 10k to each involved investor) to prospective IPO candidates. These funds are used for maybe headquarters, land, furniture, small advertising, business plan costs, etc. Basically to set them up in a small way in their chosen field. Then they can begin to start a low key track record without investors risking 100's of thousands of linden. This period also gives the Underwriting investors a chance to meet them, check out their numbers and decide if they want to be involved.

I have chosen to spread this risk amongst more investors so that no one person could get hurt badly and also that no one person can apply pressure to me to push a company forward that just shouldn't. That is the major risk, I could just say that this person or idea isn't going to fly so I'm pulling out. Any assets are then sold off and those remaining funds would be returned to the investors involved in that startup. The reason for twice the number I probably will need is so that I can rotate through the list and have more than one going at a time. The investor will receive his 3k fee/commission each time a startup passes on to the underwriting stage and is accepted. If the company is stopped, then a large amount, possibly all 10k, would be lost. So, higher risk and reward. This could happen 2, 3 or 4 times per month, dependent upon the number of IPOs in the pipeline and how quickly they turn over. So, the potential for massive gain exists. If a group loses their funds, then they would need to anti up again or close out what was left. I am also not about to give out funds that I think are going to get lost, because I need good companies moving through the SYSTEM and into trading. That is where we make the lions share of our profits.

I hope this clarifies a lot of the questions I've received thus far and a few more. Please come and join us, we have 6 or 7 companies in line for getting started, so February should be gang busters for LCA and it's shareholders and investors :)

Also, someone claiming to be his ex-GF approached me telling he was involved in the initial failure of Los Vegas, taking loans from the defunct MIB and then partying when they went under, his idol was/is nicholas portocarrero of ginko.

Furthermore, he is refusing to refund fund investments without taking 75% to himself, and asking us to wait till May!

When banking policy came, night before i hear from another investment that the fund was doing great, the day after, the fund was supposedly in huge loss when the policy came ...

That fund being stock investments, i highly doubt it, as stocks didn't crash, amazingly enough.
