Just a blast from the past.

I had a thought......how long will Dimitri go before either finding another CEO, since Kubi Beam resigned, or are we back to this?

Maybe the corporation is better with Dimitri back in control? With survival funds for one more month, according to the last shareholder meeting......

Of course, this was over six months ago....the sim looks different....much better now....lots of shops....Kubi did a great job as far as I can see.....maybe things are not the same....

or are they?

This is just my opinion.....I could be wrong.

This change is to take place immediately, with Kubi taking full reigns over the next week.

Kubi Beam has not purchased the company, his appointment was reached through a private deal with president Dimitri Gasser.

Dimitri Gasser will be making a proposal to the exchange later this evening to facilitate a stock compensation plan for the new CEO. this plan will be announced once finalized and approved with the exchange.

Tropical Temptations welcomes Kubi Beam to the company, with personal holdings upwards of 150,000 shares it is clear that Kubi believes in the Temptation dream, and has the motivation to see it come to its full potential.

We believe that this is the best option for the well being of the company at the curent time.

Tropical Temptations has had some very good offers made for the purchase of the company however, and would like to thank everyone who placed a bid. A bid recieved for another CEO on this exchange, placed last night peticularly, heavily sits with dimitri and was not easily passed on.
We would hope that in not accepting that offer currently will not close communication with that person for future situations should they arise.

as for the financials, i posted them on the 15th, *points to first page* it just wasnt slcx template, arb told me to have them up come midnight, i want able to get to a computer to get them up, i was halted.

soon as i got on, slcx template financials went up, problem solved.

as for income, you know damn well xxx is 2 months out of ipo and just completed a growth phase. what little income there was got spent suplementing the cost of the money trees and classifieds.

Funny thing, it takes stopping the trading before the shareholders can get a financial report, which amounts to a basic balance sheet.

Why don't you take it one step further, and post the income?

In RL, I drive a tanker with 9,000 gallons of high explosives fuel in the middle of the night in the D/FW area, unloading at stations so people can get a few gallons with their coffee. I also take advantage of tax sales and foreclosures when buying land, and sell the land at close to retail.

Here in SL, I buy and sell stock. This was my first offer for a corp. that was poorly manage with a great waste of space on the sim. I saw a opportunity to make money, and that's why I made my offer.

However, all of that is moot, Dimitris turn me down. Probably because he doesn't like my tactics. I sure the rest of you will get you money back. hehehe

As far as what kind of person I am.....let's just leave it as I'm not a nice guy.

If you have checked my profile, I've been here less than a month. I have bought my L$ from a outside sourse, and not sure how much more I can bring in without setting off the Risk API freezing my account. Does any one know how much you can bring in before it does?

In the interest of being open, I currently hold the following shares:

MECH 368 shares
KDC 8,886 shares
BBX 25,648 shares
LNL 47,152 shares
SLCX 100,000 shares
SLR 250,000 shares

These shares hold a current value of $258,638 L, and I think that with a buy orders around $5431. I will NOT sell these shares to finance this offer. This offer is straight out of my pocket, which is hard to collect so many lindens in a short amount of time. I figured it will take at least 2 weeks to buy enough lindens over time without the API freezing me.

So if you accept, find someone to make a contract. The conditions set above are a must, and if the contract does NOT reflect the deal above, I will reserve the right to cancel. By the time the contract is drawn, and items transferred, payment will be available. A third party will be needed to finish this contract, because I'm not turning over a dime until ALL assets are in my name.(or any named avatar I got control over) All goes well, you will get PAID in 2 weeks.

Now for my answer. The reserves is a part of the whole show, and belong to the corporation. If the question is weather I run off with the reserves, my answer is that the reserves will be locked within the corporation, used for corporation needs only. With the level of scamming that's been going on, I wouldn't mind a different party keeping a watchful eye on the reserves.

Further more, all assets must be accounted for. If for any reason you withdrew any part of the reserves, you better come clean about it now.

Now, my offer is for a unconditional surrender. The terms of my offer will be discussed here in this forum, as I don't want private dealings to be a factor with the shareholders in weather or not I'm trustworthy. Plain out, in the open.

Your dream will live, the share holders will be happy. And I do got a few ideas of my own, but I'll keep them to myself for now.

And I'll even throw this in. For the first 90 days, we lock the shares into the corporation. I still receive the dividend off the shares, but will not be able to sell out, and leave. This will protect the sharesholders who have invested at the IPO stage. At the 90 day mark, 50% of the shares will become openly mine, to do as I want. The rest will be open to me at the rate of 25,000 shares per month, starting with the 1st of the following month after the 90 day point. But everything else will be mine. And I have control.

It is now 3:23 Central time, which is 1:23 SLT. At 4:01 pm SLT, today, my offer will expire.

theres enough in reserve to see us out passively untill december. tunes on the sim are provided allready curtosy of HIT MIX 96 FM, events could easily be paid for with the "working capital" part of the reserve, wages are cheap for hostesses, etc. go to help island, pay some noob 10L$/hour, i have a kit i can give to anyone that has everything they need, premium skins, clothing, eyes, etc etc.


the company itself isnt in any trouble, other than the fact that im leaving. all it needs is a new ceo with the time to dedicate to find a solid initial team.

That said, it would create an additional burden, interest payments, etc.

But, looking at it. I believe a new management team must solve the key problems in this order:

1. Extend the life of the company by obtaining more money (via loans or whatever).
2. Get some real hard data on the market XXX tries to serve.
3. Make use of the marketing expertise the company already has at hand and develop a strategy based on the market analysis.

What is the problem with getting girls? Is it this model just won't work? If that's the case, the analysis and marketing experts can re-tool the property into something that will.

But before you can even do that, the cash issues have to be fixed.

as for people coming down on my for my failure to project the future and know about school. no one here knows my personal situation, but let me fill you in.

first off, when i submited the ipo school was not on the horizon. i am an alberta rig pig, usually working the season up in the oil sands, and i figgured i would forgo this season to work in sl. no problem.

however, things change, and i was given a grant to pay for my education for the next 4 years. now i dont care how nice sl is, its not going to make me an offer like this. so i took it.

if anyone in here is willing to mail me a tellers cheque for $153,940cndn, the cost of my education, i am more than willing to loose my grant and leave school.
if noone is willing to do that, then its not your place to comment upon what i choose to do.

Another risk people often ask me about is LL implementing age verification, when this happens we will simply ask all advertisers and escorts to change their pictures to non-explicit images. We are a resort with rooms for rent, and although we cater to sex trade workers, as long as there are not explicit images or gory images on the parcel, we don’t need to flag it and thus prevent access. We will continue to stay open to all.

Lastly is the risk that this may just not take off, it could fail.
With that said, I am fairly confident this will not happen. As I said earlier, the sex trade industry in SL is huge. I decided to copy this from the Prospectus for XXX when it was offered, and nothing to say about real life interfering......very interesting indeed.

But after reading everything in this forum about this deal, I decided that the investors who didn't do their homework deserve the bloody nose they just got. Next time a person opens a IPO, make sure they have a equal amount of cash invested before you decide to give them 51.1% of the shares. That action in itself was just plain stupid.

Dimitris, looks like you might get away with your claim this time......but sooner or later these investors will stop investing into pipe-dreams, and start looking for good, profitable investments.

Of course, even if they don't, I will. Of course, I doubt that the exchange will let you get away with it......or at least, maybe they will make sure that no-one else does. But I do love a sale, and to irritate people. I'll make my offer on what I think your shares are worth to me right here, right now.

And Ceo who are starting up, or managing existing business in RL or in SL have to think a couple of months, at least, ahead.

So starting up a business a couple of months before school starts, go public through an IPO wasnt a good idea, when at that time Dimitri already knew he would have a lack of time.

It was certainly a good idea if the purpose was to get quick money selling the company and get some easy money.
Education are expensive and "pockemoney" should be welcome in any students wallet.
Wether its in US, Canada or in Sweden (where i live).

Finally, yours opinion of the shareholders expressing their/our suggestions/feelings/whatever in this forum , your personal opinion Bo ? or is it SL capex opinion ?

Shareholders, rather than spending HOURS whining, why don't y'all get together and collectively help Mr. Gasser find an appropriately qualified Executive Team to manage the Co.?

For those that sold in a PANIC yesterday - SHAME, SHAME - in the end you have only yourselves to blame for the share price. I, among many, viewed this as a BUYING opportunity...

THANKS for the DISCOUNTED INVESTMENT - I'm quite confident Mr. Gasser and freinds will find a sustainable mechanism to insure the survival of XXX.

I think we all need to calm down and remove the egos to help analyze whats going on and if the rules of the exchange are robust enough. I think the correct course of action would be to:
1. Put a trade halt on xxx
2. Launch an investigation as to how Dimitri acquired his 51% share of the company. If he purchased them with his own cash, then he's entitled to sell them under the guidelines and the rules of the exchange. If he obtained the shares using the cash from the IPO, then the heads of CAPEX need to figure out if this is an illegal transaction. Is there a condition of the exchange that prohibits this? If not, why not?

I don't know much about IPO'ing a company, but does the exchange "see" the money the founder is putting in? Is there a way the exchange can do this?

Lets face it Ladies and Gentlemen, trading in SL is like trading in the wild west. Its going to be a struggle to police the exchanges, and in any event there will be scenarios like this that will need to be learned from.

I cant believe that you cannot have a profitable company selling sex in SL.

i was presented with the idea of making the beach a "nude beach" if you will, and dropping some poseballs down there. more i think about it, more this sounds good.

upon looking around, i realize surfing is hard to find, ill need to get a sign.

all in all i think its well put together, just need to facilitate moving from the beach and shopping, up to the house, better than i have currently.

finding management is most defenitly what i would like to do, and by far the most favourable solution here. do you have a chia pet that i can water and grow some management?

do i know what needs to be done? yes. have i considered breaking it down for managers? yes. do i have the time to hire, then micro-manage? no. would i like to sell the ceo stake and have someone else hire and micro-manage? yes.

its not an issue of a poor company, or a poor plan. but rather my COO had some personal issues and has left sl, my board decided they wernt interested (remember for most people, sl is a 3 hour a week game), and the girls i had lined up, well a few came thru and rented signs, a few more have decided to work the resort, however, a few people, on a few hours a week, isnt going to get the job done.

its not lack of knowing what to do, and lack of a plan, etc. but rather lack of the initial team, paired with myown rl situation, that has left a great place, unattended.

my goal in trying to find someone to buy a stake and take over, and as i have said many times before, is not me wanting to ditch a bad company, or just "cash out", its the opposite, i want the company to succeed, and i know that i am not able to do that.

King, you are far from being helpful, I would advise that you add something to help, or be shellfish and clam up. Acting like a schoolyard bully complete with schoolyard challenges and insults isn't doing you any credit, and obviously isn't going to inspire Dimitri or anyone else from doing you any favors. If I was to fight fire with fire, I'd drop to your level and say, "I double-dog dare you to not post in this forum unless it's useful."

Dimitri, I know someone from CapEx will probably chew ya out for language, and I understand your frustration, but ignore King and anyone else who isn't trying to solve the problem but adds to it. Some of us are actually "on your side" and hoping things will work out, so take critique in stride, and ignore those who have no other purpose in life but to whine, piss, and moan.

After cruising around Temptation Island a little while ago, it looks like there is still some work to be done, and frankly, I can see how managing it may be a bit overwhelming. Dimitri, have you considered having individual managers for portions of the island to divide the labor a bit? Perhaps have someone manage the retail space, one to manage events, one to manage escorts, and etc? After looking around, it's a vast space you have, and it's gorgeous, but it also seems so vast that it's daunting and some areas are a bit vague as to their purpose. Care to elaborate?

I as and investor of XXX would like to see if theres someone with the skills to take on XXX and run with it.
Theres too many "investors" here that can see the big picture and when things go "south" they want there money back and threaten to sue if you don't.
The fact is that you are the owner and you have waited untill you could sell XXX for what ever reason. That is your choice and it is part of the risk investing.
Just keep us informed of any possible new owner (CEO) and let the investors have a up or down vote on them.

the solution i want to see looks like this:

someone approaches me about becoming the ceo of xxx.
that someone has the time to dedicate (skills can be taught)
we work out a compensation plan
the new ceo gets at it, putting in the footwork i dont have the time to do.
the sim comes up to speed, makes loot, were all happy.
i can dedicate about 2 hours an evening to sl, and would love to mentor and supervise someone in taking this to where i know it can be.

however, ive spent quite a while trying to find someone for the ceo / head manager role, to no avail. everyone wants to have the title, but noone is able to put in the work. i lack the time to go find a proper employee, and the little time i still have allocated to sl, is now delt dealing with a shitload of harassment, both in world, thru phonecalls, in email, and obviously here.

being unable to find someone to ceo the company, leaves me in a position where i still need to run it, and i have been, and will continue to, do so to the best of my ability. however my best ability, is far from what the company actually needs.

that leaves us the few options that have been presented in this fourm.


i did however, decide to man up and admit i needed out, with enough time to find someone. i didnt wait untill we were bankrupt. i am actively trying to prevent that, and am open to, and listning to, all sugestions.

Personally, I think Dmitri ought to talk with the CapEx heads about how to go about this in a more appropriate manner. Sticking around the forum like this is obviously not helping him, or us shareholders due to the fact that names are being called and assumptions are being tossed about, while he is weakly defending himself from the torrent of rabid investors.

I have around 1,700 shares of this, which I bought at well over L$2 a share, which is now pretty much worthless and getting worse by the hour. It's not much, but since mid-September, even a small amount of shares getting hit hard is enough to hurt a lot.

Right now, I think Dimitri ought to stay on as President, and have someone qualified to take over the reigns of XXX. Walking away now is not helpful at all, and is essentially a waste of all the time and resources spent just to get it off the ground. As for having someone buy up the shares up to 51%, I don't think it's worth it since stock value is dumped like a turd in a toilet. As for the earlier claim of insider trading, I have to admit that I have my assumptions on that since volume had been heavy on the new companies and XXX hadn't had the volume numbers like this during such a time. That is just my assumption by looking at the numbers as posted.

Dimitri, I believe that RL take precedence over SL, and I wish you well with your studies, however, I believe you have some responsibility to the shareholders. I appreciate that you aren't running and are trying to do something right, I really do, but something about this leaves a sour taste in my mouth. I think you ought to not give up completely on XXX, and find a way to come to SL at least once a week once you get a capable CEO to try and guide that person till he or she can run things almost without you. I firmly believe that the Linden is a real currency, since it can be bought and sold for and with real currency, and we investors have something at stake, even those of us who view this all as a game and those who don't. If I had the available funds, time, and resources, I wouldn't mind taking the reigns, but I just don't, and I am pretty sure that rare few can actually do so.

How would this work as a suggestion? Have XXX stock put on hold, and have someone, maybe CapEx management, find a capable CEO to take the reigns of XXX for you. Once that person is up to speed, a gradual buyout can take place. I'm not a financial genius, but something has to take place to keep the stock from plummeting from panic, and yet you can get what you deserve from the company. It's my feeble minded suggestion....

in the event the sim gets to the point where it needs to be liquidated (bankrupcy, frozen trading status, etc), ill do that, keep 51.1% of the proceeds, and give the rest to a trustee to give to shareholders, with dissregard to my holdings.

ultimitly, and what i think would be best...id like to just find a ceo to run the place, work out a compensation plan with them, and let it be. however that is extremely difficult. in the meantime, ill continue to run the company to the best of my ability.

as for what was put in on my part, we all measure contributions diffrently.

as for the company, someone can buy up the market shares and then approach me to purchase what would be needed for them to gain 51%

someone can buy my 1,150,000 shares, in doing so control 51%

first person to gain a 51% hold in the company, will have all XXX assets transfered to them.

alternitively i would look at hiring someone as a ceo, work out a compensation, and let them run the company. i would retain control, and assume the advisory role of president.


in the event that noone assumes a majority hold of XXX shares, and i cannot find someone willing to be hired on as a ceo who is capable and qualified to run the company. i will continue to run it for as long as possible to the best of my ability.

We all agree that Tropical Temptation needs a new CEO a new direction and a new influx of life. You can't give the time to be that person, great, cheers for admitting it.

However, since you have to this point FAILED to bring your prospectus to full light, you do not have a clientelle, you don't even have dancers, how can you expect someone to waltz in, pay you for your 51% and then you walk away with a heafty chunk of change?

If you propose to sell the treasury shares (and lets not forget, the 51% is treasury belonging to XXX NOT to Dimitri Gasser the individual, you are the CARETAKER of that stock for the company) you are welcome to do that, so long as the procedes from said sale go out to the SHAREHOLDERS as a dividend. I will even allow that you would be entitled to 51% of that dividend being the former owner of 51% of the shares, but you don't get to walk away with 100% of the procedes and wish everyone else a fine fair thee well.

I'm more than happy to support the sale of the TREASURY shares if you intend to use the procedes for the good of the shareholders.

The point of this entire argument seems to be that we all are under the impression you are going to sell to the highest bidder and then take that money and go throw yourself a party. That hardly seems in the best interests of all involved, and you continualy state your goal is the good of all involved.

So please, take a moment and clarify what use you intend to put the procedes of this sale toward.

retains 1,150,000 personal shares, representing 51.1% of the company.
has gone back to school, midterms are upcoming, and the load is simply to much.
had full board of directors step down, had majority of initial team either no longer active in sl, or no longer interested.
lacks the time to actively look for and manage a new initial team to see the resort come up and become autonomonus.
is currently the worst possible option for a ceo.


FACTS -

XXX will go bankrupt at this current rate, the company does not have large enough reserves to see the company come up with passive growth. someone needs to step in accelerate that growth.

I am looking to sell a portion of my shares to someone looking to increase their holdings to 51% for a takeover.
I am willing to sell all of my shares in a block to whomever wishes to walk into the ceo role.

really, you invested in the company? AWESOME!!! how about you shutup about me, and start thinking about investing in the company means. how many shares do you hold? how much of a % of the COMPANY does that equal? whats the future of this company? what are the ASSETS of this COMPANY, etc.

realize that this IS NOT ABOUT ME but rather, ABOUT THE COMPANY and how it is going to see the future, and the fact that it needs a new ceo.

being that your invested not in ME but in the COMPANY, it would make sence that you should be concered with the COMPANY, and working towards a constructive solution, for the COMPANY, rather than being deconstructive, and abusive towards ME.

People should know the difference between owning controlling interest in a company and actually owning the entire company. That should be a prerequisite for having an IPO....

and while you all continue to rag on me for selling out and ripping off customers, heres a hypothetical for you, chew on it for a second, and start thinking before you start typing.

i am a shareholder of the Tropical Temptations company. as such, i can use those shares, to "vote" for w/e i would like to do.

voting for the company to sell all of its assets (the company holdings) to me personally for L$1 is a legal move. a vote would be held, 51.1% of the company would agree to the sale, it goes through. im more than willing to hold a vote on this option, because i assure you i will not vote against myself.

the company, Tropical Temptations, of which public shareholders own 49.9% (as seen on the research page and reflected in shares of the COMPANY that are not owned by me) would then have the proceeds of the shareholder voted and approved sale posted as a dividend.

the L$1 made in the sale of assets would then be posted as a dividend, and divided by the 2,250,000 outstanding shares.

tropical temptations would then have assets ammounting nothing. shareholders would all get there fair share of the L$1 which was made in the sale of company assets.

shareholders bought a share of the COMPANY, they did not purchase the ASSETS, the money raised from the sale of 49.9% of the company was utilized to buy the assets, but those assets themselves are wholey owned by the Tropical Temptations company.

In other words Dimitri steps down as CEO; becomes the President, and someone else would step up as CEO of the company. For this to work however, at least some of Dimitri's shares would have to be sold off to either a single executive or simply sold on the market for cost. This would allow the CEO and other executives to make decisions without having a single VETO power hanging over them from Dimitri.

someone can flat out buy my stake, and take control of the company.

someone can buy all available shares on market, purchase the remaining needed shares from me to take 51% and a majority hold, they take control of the company.

we do a secondary, up the total float, a new executive buys the secondary, and gains control of the company.

someone willing to be a CEO will step up, we work out an arrangement for compensation, they start running the show i retain control and stay on as an advisor.

I take an offer on the sim, pay a liquidating dividend that will be no where near initial share price, xxx is delisted, we call it a day.

we all fight this out, you keep harassing me, i let the reserves die out, LL seizes the sim, XXX claims bankrupcy.

as for the share price, the top holders have pretty much maintained their holdings, with the exception of an extra couple thousand K going into the market. that low price is all you daytraders churning and burning while this gets worked out. if you dont want to sell your shares for less than you paid. dont. if you decide to dump, well its YOU who accepted the low price, not me forcing it down.

Instead of selling your stake i as a shareholder would prefer to see a secondary wich would be bought by the potential new owner, this means the Owner will not sell his stake, the reason why i see this as a much better solution is because:

1. This gives us (investors) a confidence that you will try to find someone that actualy can do the job, instead of accepting highest bid.

2. Lets say you do a secondary for 500k, this would double the size of XXX to 2 sims, You would still own about 30% so would the new owner.

3. Finaly, your advantage as the founder of XXX, you'll make money from XXX while prioritating school.

sory andy, i missunderstood what you ment last night, it was a hetic time and i was dead tired.

this solution here is definitly a thought if you all think this would work out :) have a new executive purchase a secondary and take over. id be willing to hear out details upon how we would make this work.

heres the facts, and there real simple:

i can no longer CEO this company, im leaving.
although the company owns all assets, 51% of that company is currently mine, all assets are in my control, i retain voting control.
we all invested into the company, either in time, money, ideas, support,etc. contributions take many forms.
the total company is 2,250,000 shares
51% of the company is 1,150,000 shares


where im at right now: i will hand the companies assets and control over to the first person to aquire a majority stake in the company. 51%. reason for this is that there is no real corporate structure in sl, everything is owned by the ceo. for this reason, i believe, ceo's should retain a majority hold. to facilitate someone in aquiring 51% of the shares, i am taking offers on my holdings.

As for the price decrease in shares this is a reflection on shareholders making their own decision.
