Petition from Lindsay Druart in re; LCA & LNL Assets - 08/06/2008

I received the following petition from Lindsay Druart this AM pursuant to SL Capital Exchange Policy regarding the release of corporate assets held by SL CapEx for recently delisted LCA and LNL. Please find below an itemization of those assets currently held in trust by SL CapEx on behalf of LCA and LNL shareholders.

As I have not kept track of Lindsays efforts or success in reaching acceptable post-delistment arrangements with the LCA and LNL shareholders I will be posting this message in the SL CapEx Forums. Please post any comments or opinions you may have regarding this matter at the following link;

http://www.slcapex.com/forums/topic/ARCHIVE/2151

I will reserve official SL CapEx commentary until 08/15/2008.

Respectfully,

Bogart Beck
SL CapEx CEO

To whom it may concern,

I am submitting a formal petition to have access to the assets on the following accounts: Lindsay Druart, Luke Birdbrain, LNLBT Miles, LNL Bing, LLADN Back, and LNLCA Dawes. At glance, there is a significant amount of assets between these accounts that will greatly assist in our efforts to bring our company out of the red. We are currently liquidating assets to decrease immediate liability to be able to realize profits on a reduced amount of assets so that we can afford to realize dividends and future buybacks for our shareholders a lot sooner.

Currently, we have not decided where to list to publicly trade, but I do plan on providing financial statements for iVentures to catalog along with the other companies as we move back into restructuring beginning in September. The company only has two employees being Lindsay Druart, CEO and Gabrielle Miles, CCO and are currently still operating the land division. All other divisions are on hold until we liquidate enough to stay out of the red for at least 60 days. At that time, I expect to see a slow but steady increase, bringing operations of web services back on line incrementally. All servers, domains, and databases are still maintained and will continue as such.

Please let me know what further steps I need to take to either assist our future or go back to the drawing board. Thank you for your attention to this matter.

"there is a significant amount of assets between these accounts that will greatly assist in our efforts to bring our company out of the red."

A little under 50k L$ held by capex.... a laughable amount considering what she managed to take from investors here.

*wonders what the payout on each share would be between all companies ... * .000000000000000000000000001 .... :p

shareholders got f'd either way

As a significant shareholder in both LNL and LCA I object to returning the funds to Lindsay Druart.

Both LNL and LCA were de-listed from Capex against the wishes of the majority of shareholders.

Lindsay has shown a total dis regard for the shareholders and I have no faith that this will change now that she taken the company private.

In any event how much of a fine does LNL/LCA own for failing to comply with listing requirements? Will there be any funds left after this payment? maybe Capex can then dispose of this fine as they feel appropriate.

Regards,

CB

Actually, Cayman, the delisting commenced via SL CapEx, not myself. I requested it under other circumstances that included relisting the conglomerate but SL CapEx delisted the companies for their own reasons so that statement is incorrect. The listing requirement was breached when Sully disappeared while the other company was still within the correct time frame. At that time, I asked to be delisted to restructure. If I was supposed to still submit financials on a company in which I had little insight on as it was Sully's responsibility, that was never relayed to me. I did not know that a CEO petitioning for account access to consolidate assets was a democratic action either but, I will leave it as is. I do wish I would have been instructed that this would be done.

Nevertheless, if anyone has any questions, they can go to the L&L Corporation forums at http://llcorporationinc.forumotion.com and ask them as there is a thread open for questions or contact me directly as I will not be around the SL CapEx forums.

I also object to any release of any L&L related accounts.
I am a major owner in both LLFS and LCA and to this day there is no plan for these companies. Or any communication about a plan.

There is a documented debt between myself and LCA that Lindsay acknowledged in the forums and has yet to pay. As a matter of fact she refuses to even talk to me about it.
Looking thru the forums that Lindsay created is documented proof of her lack of dedication to the restructuring of these entities.

When it comes to shareholder meetings her last pot before today was June 18th where she claimed to not be evading anything, and in today’s post she’s scheduling them in September……

In regard to assets today Lindsay made the following post…..

“Re: Consolidation of Assets
by Lindsay Druart Today at 5:05 pm
At the current moment, it seems that my petition is not in the hands of SL CapEx but the entire market so for all intensive purposes, the notion has been put on the chopping block. We all here know exactly what has transpired but I was making an attempt to focus on the solution, not the shoulda, coulda, woulda. The past is just that. The past. And from the responses on that forum, that is where everyone is staying so....

With that in mind, I am writing off assets held in SL CapEx and moving on. The petition is still in place should some form of reason come from the action but at this point, I will proceed as if those assets are not there and continue otherwise.

Have a read. I will not post another response to the thread. I have talked for well over a year. There is nothing more to say than move on and restructure.”

After reading this and through her lack of action across the board I would ask that nothing be released into her possession until L&L makes good on it’s debts and it’s shareholders.

Thank you,

Scott Nestler

I have come to the conclusion that you gravitate to drama and would rather argue, fuss, and flame to get your way than try to find a solution that benefits a collective unit than yourself. You remind me of the school yard bully that pokes fun at the nerd and makes sure to gather an audience to help you make fun of that person. Again, anything regarding the LCA will be addressed with a proxy of your choosing and my approval. Otherwise, I have nothing further to say to you.

I am not using a proxy, Especially after the ordeal that ServMe was put through

You have no right to require me to use one

You want me out or your life, easy

Pay me what you owe me. Buy my shares in LCA and LLFS and I am gone

After weeks of listening to people throw out all of these theories that Sully (Michael Sullivan) was in jail, the hospital, assumed missing with Steve Fossett, and/or involved in the Berkley tree sit-in, I took four minutes of my precious time and tracked him down myself. Jimmy Hoffa he ain't. He's reading messages (though not responding to the likes of me).

Has anyone else so much as bothered?
